When do I need Overseas Investment Office Consent?

Given the recently widened scope of New Zealand's OIO regime, any investor with overseas connections should get advice on New Zealand’s OIO regime before investing in any:

New Zealand land (including a lease or security interest)

New Zealand business

New Zealand business assets

Not all investments will require OIO consent. However, some investments that do not require OIO consent still need to be notified to the OIO.

New Zealand’s OIO regime applies to:

Individuals who are not New Zealand Citizens or “ordinarily resident” in New Zealand (which considers both residency status and physical presence in New Zealand)

All entities incorporated outside of New Zealand

Any entity that is more than 25% owned or controlled by overseas persons. The tests consider matters such as separate classes of securities, voting rights (including veto rights), appointment of governing bodies and entitlement to distributions.

Applying for OIO consent to acquire New Zealand assets will require specialist legal services.
